Name of the company in Tajikistan

According to requirements of the Civil Code of the Republic of Tajikistan, a company shall determine a full and a short official name in the Tajiki language (Tajik). Full company name in the national language has to include a full name of a company and (in case of LLC) the word “limited.” A short company name must contain a full or a short name of a company and the word “limited” or an acronym “LLC.”

Registration address in Tajikistan

Company in Tajikistan needs a registered address at incorporation. There are options to rent an office or to use a virtual seat service provided by Global Expansion Plus.

Founder: legal or individual in Tajikistan

Depending on where the founder (owner оr shareholder) is going to be a foreign legal entity or physical individual, the process of incorporation can be different. If the founder is a foreign company, to register an LLC, you will need a copy of the document on state registration of a legal entity or an extract from the register of legal entities of a foreign state (or another document of equal legal force proving the legal status of a foreign legal entity). All documents in foreign languages must be legalized using the apostille under the requirements of the legislation of the Republic of Tajikistan.

Types of activity in Tajikistan

Amount of issued/share capital in Tajikistan

The authorized capital of the company is made up of the nominal value of the contributions of its participants. The amount of authorized capital of LLC has to be at least TGS 500 (approx. 50 USD). The minimum share capital required for registration of a joint-stock company in Tajikistan is 210 USD (closed JSC) or 1050 USD (open JSC). A contribution to the issued capital of a company may be money, securities, other property or property rights, or other assets that have a monetary value. 50% of the authorized capital must be paid at the time of registration of LLC, the remaining amount – within the first year after registration.

Directorship in Tajikistan

It is possible to appoint either a citizen of Tajikistan or a foreign citizen to the position of the director. A foreign director, before submission of all the documents to the registration authority of the Tax Committee for registration, must obtain a taxpayer’s identification number (TIN) in Tajikistan. Besides, it would also be necessary to provide the documents concerning his/her legal stay in Tajikistan and a relevant registration card (registration of a foreigner in Tajikistan). Also, foreign employees will need a work permit.
