Name of the company

It is necessary to reserve a company name via Registration Chamber of Moldova. Before the reservation, you have to select at least five unique names for a future company. Approval, selection and reservation of a name take around 2 days. Duration of reservation can be 1-6 months. Government fee shall be paid.

Registration address

The company needs to have registered address. It is possible to rent an office or use address of your partner or local director. Also it is possible to use virtual address service provided by Global Expansion Plus.

Founder: legal or individual

Depending on whether the founder (owner оr shareholder) is going to be a foreign legal entity or physical individual the process of incorporation and required documents can be different. We need a certified copy of founder’s passport or founder company’s extract from register or certificate of
registration (apostilled) and articles. Presence of the participants for registration of a company in Moldova is not required. All registration actions can be carried out under a Power of Attorney.

Types of activity

A founder has to determine all and the main types of economic activity that the company will carry out. Some business activities require license. Number of business activities is not limited, usually it is enough to indicate 5 types in charter.

Amount of issued/share capital

The amount of the authorized capital is established by the founders in the company’s charter. The authorized capital may be paid up upon registration: the requirement to transfer money before registration of a company has been cancelled. The mandatory minimum authorized capital of LLC (SRL) also was abolished.


It is possible to appoint either a citizen of Moldova or a foreign citizen to a position of the administrator (director). To appoint a foreign citizen to a position of the administrator, one has to obtain a work permit. It is necessary to obtain a certificate of good conduct for future administrator in his country.

Initial stage

  • Reservation of business name;
  • Preparation of the charter;

  • Filling out an application for state registration of a legal entity;
  • Registration of the company with state registrar;

Tax Stage

  • Registration in tax office (within 24 hours) and statistic authorities;
  • Directors employment registration with tax authorities;
  • Signing accounting outsourcing contract to support your activities and tax compliance.

Final stage

  • Registration in state medical and social insurance companies;
  • Opening a bank account;
  • Signing a legal support contract;
  • Ordering a seal.
