Name of the company in Armenia

In Armenia, it is needed to choose a name that will not coincide with existing companies or contain in some form the names of government agencies of Armenia. Also, it should not repeat with the names of international companies and bodies, any insults or names, that is not inline with values of Armenian people, as well as the gerenally accepted principles of humanity and moral.

Registration address in Armenia

Registration of a company is carried out at a specific address (the location of the organization). The constituent documents shall include an exact legal address, which may or may not coincide with the actual one. It is possible to use a virtual address provided by Global Expansion Plus. The company is not obliged to be located at that address.

Founder: legal or individual in Armenia

Whether an individual or legal entity will found the company, the client will also have to provide several documents that should be used in the registration process. Among the documents necessary for opening a company in Armenia: copies of shareholders’ and directors’ passports, sample signatures, charter, certificate of registration. It is possible to avoid a visit of the country for this purpose and delegate authority to the representative by Power of attorney. Based on this document, the company can be registered in the local commercial register, and also the bank accounts of the company can be opened.

Types of activity in Armenia

Registration of a company requires determining the types of business activities. For the performance of certain types of economic activity, in addition to the registration of a new company, a special permit (license) is required. For example, if operations on bank accounts will be very different from the main declared activities of the company, the bank may offer (or require) a change of activities.

Amount of issued/share capital in Armenia

It is necessary to decide on the amount of the authorized capital of the company, the participant’s interest in every shareholder. For LLCs, the minimum or maximum size is not provided by law. For closed joint-stock companies, minimum share capital is 100 minimum wages (approx. 14,000 USD), for open joint-stock companies – 1000 minimum wages.

Directorship in Armenia

A minimum of one person is required. A non-resident can be appointed as a director. A foreign director does not need a work permit. The legal entity is not qualified to be appointed as the director.
